About The Stuart-Mosby Historical Society
The Stuart-Mosby Historical Society is a non-profit organization established to research and preserve accurate history and to perpetuate the memory and deeds of General J. E. B. Stuart and Colonel John S. Mosby. Perhaps the best description of the goals of the Society is given in the mission statement:
To promote the study of the lives and military accomplishments of General J. E. B. Stuart and Colonel John S. Mosby.
To share our knowledge of these officers with others through publications, talks, and appropriate ceremonies whenever and wherever possible.
To honor General Stuart and Colonel Mosby annually on the anniversaries of their births.
To preserve, promote and provide an accurate understanding of the history of Confederate arms, particularly the mounted arm.
To secure, when possible, important artifacts that can be directly associated with General Stuart and Colonel Mosby.
To ensure that the collected artifacts of the Society are preserved and held in a safe place that is accessible to members of the Society and reputable scholars.
To work through all possible avenues to ensure that monuments, markers, artifacts, and public presentations on all aspects of Confederate history and arms are maintained and held in honor.
To promote communication between members of the Society.
To maintain a viable and active membership in the Society that is in full agreement with the above objectives.
The Society currently sponsors a Lee-Jackson-Maury Day Ceremony in the State Capitol in Richmond, Virginia on the Saturday closest to January 19. Ceremonies are held each February and December to mark the Birthdays of General Stuart and Colonel Mosby, respectively. The Society also holds an annual meeting each June. On numerous occasions, the Society offers a tour of sites of importance to the history of these Confederate officers. The Society maintains a collection of important artifacts and papers. A bimonthly newsletter, entitled "The Southern Cavalry Review" is published by the Society and is sent free of charge to members in good standing. Numerous members of the Society are authors of articles, books and papers relative to General Stuart and Colonel Mosby and the Society has also taken a direct hand in the publication of letters and notes from these men and republication of their books. When possible, publications are made available to members at attractive prices.
Members of the Society are encouraged to be active participants and to share in the fellowship and responsibilities of the Society. There are many opportunities to engage in historical work, Society business and meetings as well as represent the Society where needed. We want our members to feel welcome and to be part of the organization!
The annual dues for a membership are $25.00 for the membership year which begins July 1st and ends June 30. For those who begin their membership between January and June, the fee for that year is pro-rated to $20.00. Applicants for membership in the SOCIETY must be sponsored by a member of the SOCIETY in good standing (Don Hakenson, Eric Buckland or anyone else in good standing in the SMHS).

STUART-MOSBY HISTORICAL SOCIETY
Bylaws

ARTICLE I - NAME
The name of the organization shall be Stuart-Mosby Historical Society.
ARTICLE II - OBJECT
The object of the Stuart-Mosby Historical Society shall be to further historical research, to
preserve accurate history and to perpetuate the memory and deeds of General James Ewell
Brown Stuart and Colonel John Singleton Mosby.
ARTICLE III - ORGANIZATION
The Stuart-Mosby Historical Society shall be a registered, non-profit organization with tax
exempt status.
ARTICLE IV - MEMBERSHIP
Section 1. Membership in the Stuart-Mosby Historical Society shall consist of two (2)
categories, active and honorary. There shall be no limitation of either category.
Section 2. The Membership Year will begin on July 1 of the current year and will conclude
on June 30 of the following year.
Section 3. Applicants for membership must be sponsored by a member of the Society in
good standing.
Section 4. Applications shall be sent to the Treasurer, or a person designated by the
Treasurer, accompanied by a check for the annual dues. Upon acceptance, the Treasurer or
his/her designee shall issue a membership card.
Section 5. Membership in the Society may be terminated by a majority vote of the Board of
Directors for reasons contrary to the objectives of the Society.
ARTICLE V – MEETINGS
Section 1. The annual meeting shall be held on a date prior to the end of the Membership Year, which
concludes on June 30, or at the discretion of the President. Notice of the meeting, time and place, the
report of the Nominating Committee and any special business to be transacted shall be distributed to
every member in good standing thirty (30) days prior to the annual meeting, as well as published in
the newsletter.
Section 2. Other meetings may be called by the Board of Directors or the President upon partition, in
writing, by ten (10) members. Written notice of the time, place and agenda shall be distributed to every
member in good standing thirty (30) days prior to the meeting.
Section 3. Every member in good standing shall be entitled to cast a vote at meetings. Any such
member who is unable to attend a meeting may cast his/her vote by proxy, through regular mail or email.
E-mail votes will be verified by multiple members of the Board of Directors. Proxies must contain
specific instructions to vote in a particular way on a specific issue or candidate. General proxies will
not be allowed.
Section 4. A quorum shall be no less than fifteen (15) members in good standing, to include proxy
votes, at the time of the meeting.
ARTICLE VI - OFFICERS, BOARD OF DIRECTORS, TERMS OF OFFICE AND
ELECTIONS
Section 1. The officers of the Stuart-Mosby Historical Society shall be the following:
President, Vice President, Secretary and Treasurer. Officers, prior to election, must have been
a member in good standing for one (1) year.
Section 2. The Board of Directors of the Stuart-Mosby Historical Society shall consist of all
officers of the Society and six (6) members at large, elected from the general membership.
The Board of Directors shall supervise the affairs of the Society and meet at the call of the
President. (Moved from Article VII, Sections 1 and 3)
Section 3. The officers and Board of Directors shall be elected every two (2) years at the
annual meeting and shall serve for two (2) years. Officers and members of the Board may
succeed themselves. Any officer or member of the Board not able to fulfill the requirements
of his/her office may be replaced by the President to serve until the next scheduled election.
Officers and members of the Board shall serve without compensation.
Section 4. A nominating Committee composed of three (3) members in good standing shall
be appointed by the President in January of each election year. This committee shall select a
slate of officers and Board of Directors to be presented to the general membership during the
annual meeting of the Society.
Section 5. An election of officers and Board of Directors shall be held from the slate
presented by the Nominating Committee and/or from the floor. With a quorum of 15
members (in person and through proxy), a majority vote from the general membership shall
constitute an election.
Section 6. The Board of Directors shall designate a registered agent in any state when such an agent
is required.
ARTICLE VII - DUTIES OF OFFICERS
Section 1. President - The President shall preside at all meetings, and shall make
appointments to committees as deemed necessary. The President shall fill any vacancies
occurring in office and must approve all checks written by the Treasurer in excess of $250.
Section 2. Vice President - The Vice President shall, in the absence of the President,
perform all duties of the President. The Vice President is responsible for developing the
program and securing speakers for each meeting/event sponsored by the Society.
Section 3. Secretary - The Secretary shall keep an accurate record of all Society meetings
and conduct any general correspondence relating to the Society and its business. The Secretary
shall assist in keeping an historical file for all minutes and correspondence of the Society.
Section 4. Treasurer - The Treasurer shall receive all monies of the Society and pay all
authorized expenditures, keeping an accurate record of all transactions. The Treasurer shall
deposit all funds of the Society in a bank approved by the President. Any expenditure in
excess of $250, except for regularly scheduled expenditures, the newsletter and postage, must
be approved by the President prior to payment being made. The Treasurer shall make an
annual Treasurer's report of all receipts and disbursements at the annual meeting. The
Treasurer's books shall be closed and submitted for audit on June first of each year. The
auditor shall be selected by the Board of Directors. The Treasurer shall supply the Editor of
the newsletter with a bimonthly list of all members in good standing.
ARTICLE VIII - EXECUTIVE BOARD
Section 1. All past presidents of the Society who are members in good standing become a
member of the Executive Board.
Section 2. The Executive Board will serve as an advisory board to the President.
Section 3. Members of the Executive Board are eligible to serve on the Board of Directors.
ARTICLE IX - DUES
Section 1. The annual dues for the Stuart-Mosby Historical Society will be proposed prior to the Annual
Meeting by the Board of Directors and presented 30 days prior to the general membership with notice of
such meeting. With a quorum of 15 members (in person and through proxy), the rate will be
established for one year by a majority vote of the membership.
ARTICLE X - DISSOLUTION
Section 1. The Stuart-Mosby Historical Society may be dissolved by a two-thirds vote of the general
membership present at a meeting called for that purpose. Such meeting will be announced to the general
membership in advance and any proxy votes returned will count toward the two-thirds vote.
Section 2. In the event the Society is dissolved the assets, including the Stuart-Mosby memorabilia,
will be distributed at the discretion of the Board of Directors.
